Genel kurul toplantısı yerli, yabancı, bireysel veya kurumsal ayrımı gözetmeksizin tüm pay sahiplerinin şirket yönetimine ilişkin haklarını kullandığı önemli bir organdır. Pay sahiplerinin genel kurula katılımının düşük olması ve iradesini şirket yönetim kuruluna yansıtamaması güç boşluğu sorununa neden olmaktadır. Gelişen kurumsal yönetim anlayışı bu sorunu gidermek adına genel kurula katılımı ve oy hakkı kullanımını kolaylaştıran çözümler gündeme getirmiştir. Bu çalışmanın konusunu 6102 sayılı Türk Ticaret Kanunu’nun güç boşluğu sorununa çözüm olarak getirdiği yeniliklerden biri olan elektronik ortamda genel kurul sistemi oluşturmaktadır. Elektronik genel kurul, pay sahiplerinin genel kurula daha az maliyet ile katılarak haklarını kullanabilmelerine imkan sağlayarak güç boşluğunu azaltır. Pay sahiplerinin genel kurula katılması önündeki zorlukların pozitif hukuk ile azaltılması, yatırımcılar tarafından iyi kurumsal yönetim uygulamasının bir göstergesi olarak algılanmaktadır. Buna rağmen literatürde genel kurul toplantılarının elektronik ortamında yapılması konusu üzerinde yeterince durulduğu söylenemez. Bu çalışmada, Türk Ticaret Kanunu ve ikincil mevzuat ile düzenlenen elektronik genel kurul toplantısının, pay sahipliği haklarının kullanılmasına etkisi incelenmiştir. Çalışmanın sonucu elektronik genel kurul uygulamasının yönetimde oluşan güç boşluğu sorununu çözmek adına önemli bir adım olduğunu fakat mevcut düzenlemenin pay sahiplerinin genel kurula katılma ve haklarını kullanma olanaklarını kısıtladığı noktaların da mevcut olduğu göstermektedir. Bu çalışma, mevzuatımız çerçevesinde yapılan değerlendirmeler sonucunda pay sahiplerinin uygulamada karşılaşabileceği sorunlara çözüm önerileri sunmayı amaçlamaktadır.
The General Assembly meeting is an important body in which all shareholders, regardless of being domestic, foreign, individual or institutional, exercise their rights regarding the management of the company. Low shareholders' participation in the general assembly and the inability to reflect their consent to the company board of directors cause the power gap problem in the company management. In order to overcome this problem, developing corporate governance approach has brought solutions that facilitate participation in the general assembly and exercise the right to vote. The aim of this study is the electronic general assembly system, which is one of the innovations brought by the Turkish Commercial Code No. 6102 as a solution to the power gap problem. The electronic general assembly reduces the power gap by allowing shareholders to participate in the general assembly and exercise their rights with less cost. Reducing the difficulties of shareholders to attend the general assembly with positive law is perceived by investors as an indicator of good corporate governance practice. Nevertheless, it cannot be said that the electronic general assembly meetings has a sufficient place in the literature. This study examines the effect of the electronic general assembly meeting held by the Turkish Commercial Code and secondary legislation on the exercise of shareholders' rights. The results show that the implementation of the electronic general assembly is an important step in solving the power gap problem in corporate management, in management, but there are also points where the current regulation restricts the possibilities of the shareholders to attend the general assembly and exercise their rights. As a result of the evaluations made within the framework of our legislation, this study aims to offer solutions to the problems that shareholders may encounter in practice.
