6335 SAYILI KANUN’UN MALVARLIĞININ KORUNMASI İLKESİNE ETKİSİNİN DEĞERLENDİRİLMESİ

Abstract

Anonim şirketler hukukuna hâkim ilke-lerden biri olan malvarlığının korunması ilkesi, Kıta Avrupası hukukunda anonim şirketler hukuka ilişkin hükümlerin genel çerçevesini çizmektedir. Sınırlı sorumluk ilkesinin kabul edilmesine karşılık olarak, adalet terazisini dengeleme amacı taşıdığı kabul edilen ilkenin etkinliği ve yararları her ne kadar son yıllarda sorgulansa da halen Türk hukukunda anonim şirketler hukukunun temel yapı taşı olarak kabul edilmektedir. 6102 sayılı TTK döneminde de kanunkoyucu malvarlığının korunması ilkesinin genel çerçevesini kullanmış, hüküm gerekçelerinde ve genel gerekçede ilkeden ve koruma amacından bahsetmiştir. 6102 sayılı TTK döneminde açık bir şekilde ilkeye atıf yapılması, ilkenin benimsendiği ve etkilerinden yararlanılmak istendiğini göstermektedir. Ancak kanun yürürlüğe girmeden çok kısa bir süre önce 6335 Sayılı Türk Ticaret Kanunu ile Türk Ticaret Kanunu’nun Yürürlüğü ve Uygulama Şekli Hakkında Değişiklik Yapılmasına Dair Kanun ile TTK’da çok önemli değişiklikler yapılmış ve bu değişik-liklerin malvarlığının korunması ilkesi açı-sından da önemli etkileri olmuştur. Bu değişiklikler anonim şirket malvarlığını korumayı amaçlayan yahut bu yönde bir etki gösteren hükümlerde büyük oranda gerçekleşmiştir. Bu nedenle 6335 sayılı kanun ile gerçekleşen, malvarlığının korunması ilkesinin gücünü zayıflattığını düşündüğümüz bu değişikliklerin anonim şirketler ve limited şirketler kapsamında değerlendirilmeye çalışılmıştır.

The principle of protection of company assets, which is one of the dominant principles in joint stock company law, draws the general framework of the provisions of the law of joint stock companies in Continental European law. Despite the acceptance of the limited liability principle, the effectiveness and benefits of the principle, which is accepted to aim at balancing the scales of justice, have been questioned in recent years, but it is still accepted as the basic building block of joint stock company law in Turkish law. In the period of TCC law no. 6102, the legislator used the general framework of the principle of protection of assets, and mentioned the principle and the purpose of protection in the justifications and general justifications. The explicit reference to the principle during the TCC law no. 6102 shows that the principle was adopted and its effects were intended to be exploited. However, very important changes were made with the Law No. 6335 shortly before the law came into force, and these changes had important effects, in terms of the principle of protection of company assets. These changes have occurred to a large extent in terms of provisions that aim to protect the assets of joint stock companies or have an effect in this direction. For this reason, these changes, which we think have weakened the power of the principle of protection of assets, which took place with the Law No. 6335, have been tried to be evaluated within the scope of joint stock companies and limited liability companies.
